The company structure, which is called the “rechtsvorm” in Dutch, includes concepts that define the powers and responsibilities of the companies and the principles of which are determined by the commercial law of the country. The most preferred company structure in the Netherlands is the Besloten Vennootschap (BV), known as a private company with limited liability.

As in many countries, every entrepreneur who wants to acquire a legal company in the Netherlands must show a legal business address for the company. There is no physical office requirement for legal business addresses. When companies are established in central cities such as Amsterdam, Eindhoven, Rotterdam, and Utrecht, a positive contribution is made to the prestige of these companies.

The Company’s Articles of Incorporation, which shows the title of the company, the sector in which it will operate, its owners, and other important and basic information about the company, is among the documents requested by the Dutch authorities.

Companies need to be registered at the Dutch Chamber of Commerce to obtain the 8-digit Kamer van Koophandel (KvK) number, which is a legal requirement for all companies in the Netherlands. To do this, an application has to be made at the Dutch Chamber of Commerce with the Company Articles and legal business address. Companies can start their business activities once they have obtained their KvK number and are a full registered business.

In the Netherlands, a UBO Declaration is a critical legal requirement when establishing a company to ensure transparency in the ownership structure.

This declaration mandates that the ultimate beneficial owners (UBOs), typically the significant shareholders, must be disclosed to the Dutch tax authorities. It serves as a key anti-money laundering and tax evasion measure, aligning with international efforts to enhance financial transparency. Compliance with the UBO Declaration is vital for legal adherence and upholding the country's commitment to transparent business practices, as non-compliance can lead to legal consequences and penalties.
